How we sell and deliver — in plain language.
These Terms of Service ("Terms") form a binding agreement between you ("you," "client") and ShineBrightWeb ("we," "us," "our"). They govern your use of our website and the services we provide: website and app builds, the AI Customer Service ("AI receptionist") subscription, Care Plans, the reviews engine, and other add-ons. By using our website, placing an order, or paying a deposit or invoice, you agree to these Terms. If you do not agree, please do not use the services.
Custom websites and apps for businesses of every kind, an optional 24/7 AI Customer Service subscription, optional Care Plans (hosting, security, backups, monitoring and small edits), a reviews engine, and optional add-ons (SEO, booking, e-commerce, multilingual, PWA, and more). The specific scope, deliverables, and price for your project are agreed in writing — in an order, proposal, or written confirmation — before the build begins. Anything outside the agreed scope is handled as a separate, separately-billed change order.
Free domain. For website clients who don’t already own a domain, we include standard domain registration free for the first year. Renewals after the first year are the client’s responsibility, or can be managed under a Care Plan. Premium or aftermarket domains and non-standard extensions may carry an additional cost, quoted before purchase.
Lead Engine outreach & sending infrastructure. The Automated Lead Engine’s outreach levels (Levels 2 and 3) include managed email-sending infrastructure — pre-warmed mailboxes and domains — used to run email-only outreach on your behalf. You review and approve the target audience and messaging, and you are responsible for ensuring your offer and any claims are accurate and lawful. Outreach is email-only and run in line with anti-spam law (e.g., CAN-SPAM), including a valid physical address and a working opt-out. We manage deliverability to best-practice standards but cannot guarantee specific inbox placement, reply, meeting, or revenue outcomes. Mailboxes and domains provisioned for outreach remain part of the managed service. The optional Scale pack adds further pre-warmed mailboxes and domains for additional one-time and monthly fees; third-party data or verification beyond the included scope is quoted separately.
You must be at least 18 years old and able to enter into a binding contract, and you must be ordering for a business or professional purpose. Our services are intended for business use, not personal/consumer use.
What forms the contract: these Terms, together with the order you submit at checkout (your selected package, add-ons, payment option, and price) — and any written proposal or scope we confirm for custom work — make up the binding agreement between us. You accept it by checking the agreement box and submitting your order. For larger or custom projects, we may also use a separately signed service agreement (statement of work).
Our live demo sites are a free preview of the quality you can expect at each tier. Your own custom site preview is created after you place an order and pay the deposit — typically sent within a few hours — so you can request changes or approve the direction before we complete the build. We do not build a full multi-page custom site for free. Demos and previews remain our intellectual property (see Section 14).
We want you to be happy with your purchase. Because our work is custom and time-based, refunds are handled as follows:
Your deposit is refundable only under the Satisfaction Guarantee (Section 7) — that is, if we cannot deliver a site you approve within the included revision rounds during the build phase, before final payment. If you choose to cancel after work has begun but before final approval, we will refund your deposit minus the value of work already performed (pro-rated). Once you approve the final site or we deliver the final files, build fees are non-refundable.
The 50% balance is due on approval and is non-refundable after the site is delivered or launched.
Month-to-month services are billed in advance and are cancel-anytime; cancellation takes effect at the end of your current billing cycle and we do not provide partial-month or unused-time refunds. You keep the service through the period you have paid for.
Prepaid committed plans are non-refundable for their term; your service continues for the full paid term.
One-time add-ons are non-refundable once delivered or configured. Domain registrations and paid third-party services purchased on your behalf are non-refundable once incurred.
Request a refund through our contact form within 14 days of the charge in question. Approved refunds are issued to your original payment method, typically within 5–10 business days. Please contact us before filing a card chargeback — filing one without contacting us first may result in suspension of your services and is treated as a breach of these Terms.
If we cannot deliver a site you approve within the included revision rounds, we refund your deposit. This guarantee applies during the build phase, before final payment — it is not a perpetual or after-launch refund, and it does not apply once you have approved the site or it has launched.

A "small edit" is a text, image, price, or hours change on an existing page. Overage edits are billed (about $35 each or $75/hr). New pages, features, redesigns and integrations are quoted separately. AI Customer Service is billed monthly ($79–$1,000+/mo by level and call minutes). Month-to-month services can be cancelled anytime (effective at the end of the current cycle); committed (12-month) services run for their term.
How to cancel — quick and easy. Cancelling a month-to-month service is as easy as signing up — no phone call, no retention runaround, and no cancellation fee. Do any one of the following: use the Manage plan / Cancel link in your account or billing portal; reply "cancel" to any subscription or invoice email; or send a one-line request through our contact form. We confirm by email within 2 business days. Cancellation takes effect at the end of your current billing cycle — you keep the service through the period you've already paid for, and you won't be billed again. Committed (12-month) plans run for their prepaid term.
Ad Studio video ads are produced with AI tools and delivered ready to post. Each ad is one concept with one revision round, in short-form vertical (9:16) and square (1:1) formats with captions and your branding; a new concept or major reshoot is billed as an additional ad. You receive a license to use delivered ads organically and in paid advertising. We keep ads brand-safe, follow each platform's advertising policies, and do not depict real public figures or make unsubstantiated claims; you are responsible for the accuracy of any claims, prices, or offers you ask us to feature and for compliance with the rules of the platforms you run them on. Single ads and packs are one-time and non-refundable once delivered; monthly Ad Studio plans are billed in advance, cancel anytime, with no partial-month refunds (see Section 5).
Free video ads bonus: qualifying purchases include free Ad Studio ads — 5 ads with any Growth, Pro, or Custom website build, and 5 ads with any app (PWA, Native, or Custom build). Bonuses stack up to a maximum of 10 free ads. Starter websites are not eligible. Each free ad is one concept with one revision and must be redeemed within 90 days of launch. Free ads are promotional, have no cash value, and are non-refundable and non-transferable.
Promotional perks are introductory and conditional on an active subscription — never "free forever" unconditionally. The Early Bird offer is a genuine, limited offer for the first 100 customers who start a build plus the All-In bundle (3+ monthly services, one of which is the AI receptionist). Early Bird members lock in their pricing for as long as they remain a customer and receive the All-In perks (including 2 redesigns and the ADA accessibility upgrade while they keep 3+ services). We do not use fake countdowns or reset scarcity counters.
You confirm that you own or have the rights to all content, logos, images, and trademarks you provide, and you grant us a license to use that material to build, host, and maintain your site. You are responsible for the accuracy and legality of the business information you submit, and for providing content and access in a timely way — delays in providing materials may affect timelines. You agree to use the services lawfully.
You may not use our services or the AI receptionist to send unlawful, infringing, deceptive, harassing, or harmful content, to send spam or unsolicited messages or calls in violation of law, or to violate any applicable telemarketing, anti-spam, consent, or privacy laws (such as TCPA, CAN-SPAM, or local equivalents). We may suspend or terminate services for violations of this section.
The AI receptionist is an automated, best-effort service. It may not capture every call, message, or lead, and it is not a substitute for emergency services. You are responsible for reviewing bookings and leads it generates. You are also responsible for legal compliance in your area — including any call-recording or consent requirements, SMS opt-in/opt-out handling, and required disclosures to your customers. Telephony and messaging are subject to carrier rules and may incur usage fees. We may rely on third-party AI and telephony providers to operate the feature, and we do not guarantee specific accuracy, uptime, lead volume, or revenue.
Included minutes & overage. Voice and Full front-desk plans include a set monthly allotment of call minutes (for example, 500 or 1,000 minutes). Usage beyond the included minutes is billed at $0.38 per minute, or you may upgrade to a higher tier. Onboarding & setup: a one-time onboarding & setup fee applies to AI Customer Service plans (Chat $49, Chat + SMS $99, Voice $199, Full front desk $499); it is waived when the plan is bundled with a website build, on the Committed (prepaid-year) plan, or with Early Bird. “Unlimited” plans cover normal business call volumes on a fair-use basis; accounts with extreme or abusive usage (for example, autodialing or non-human traffic) may be moved to a custom quote. Telephony/messaging carrier fees may apply.
Our services rely on reputable third parties — for example website hosting and forms (Netlify), payments (Stripe / PayPal), client-portal sign-in (Supabase), email delivery, and AI and telephony providers for the AI receptionist. Your use of those features is also subject to those providers' terms, and we are not responsible for third-party outages or actions outside our control.
On full payment, you own your finished website, the content you provided, and your domain — no lock-in. With a one-time build you may host it anywhere; with a managed plan we host it, but you can take it with you.
Pre-existing tools, frameworks, components, and code libraries we use to build your site remain ours (or our licensors'), and are licensed to you for use within your site. Third-party assets remain under their own licenses.
Our intellectual property: the ShineBrightWeb website, our demo sites, and their underlying source code and designs are proprietary and protected by copyright. You may view them in your browser, but copying, scraping, reusing, or republishing the code or designs without our written permission is prohibited.
We may display your completed project in our portfolio and marketing unless you ask us not to in writing.
We provide the services on a commercially reasonable, "as is" and "as available" basis. We do not warrant that the services will be uninterrupted or error-free, and we do not guarantee specific business outcomes — such as search rankings, traffic, lead volume, conversions, or revenue. SEO and AI results depend on many factors outside our control.
To the maximum extent permitted by law, our total liability for any claim arising from the services is limited to the amount you paid us for the specific service giving rise to the claim in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold us harmless from claims, damages, and costs (including reasonable legal fees) arising from the content you provide, your use of the services, or your violation of these Terms or applicable law.
You may cancel month-to-month services at any time. We may suspend or terminate services for non-payment or breach of these Terms. On termination, you keep what you have fully paid for and own; managed hosting ends and we will help you export your site; any outstanding fees remain due.
We may update these Terms, our services, or our pricing. The "last updated" date reflects the current version, and continued use after a change means you accept it. Pricing locked in under a valid Early Bird membership is honored per its terms.
These Terms are governed by the laws of the United States and the state in which ShineBrightWeb is registered, without regard to conflict-of-laws rules. Before any formal action, both parties agree to first attempt to resolve the dispute in good faith by contacting each other.
We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). If any provision is found unenforceable, the rest remains in effect. These Terms, together with your order and any written scope, are the entire agreement between us. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor.
